LICENSE AGREEMENT Sennheiser Dongle Control, VERSION (ANY) LICENSE AGREEMENT

Read the terms of this license agreement and any before installation provided supplemental license terms (collectively "Agreement") carefully. In case of any contradiction between this license agreement and the provided supplemental license terms, the supplemental license terms shall rule. The software this Agreement applies to is protected by copyright law and other international legislation, regulations and agreements about intellectual property. By installing, using or copying the software, you agree to be bound by the terms of this Agreement.

1. LICENSE TO USE: Sonova Consumer Hearing GmbH (“SCH”) grants you a non-exclusive and non-transferable license for the use of the accompanying software and documentation (collectively "Software") only to administrate or control the therefore specified SCH Equipment. You are not allowed to use the Software to control or to administrate any hardware other than SCH Equipment without having a separate written license agreement therefor.

2. RESTRICTIONS: The Software is protected by intellectual property rights. Title to Software and all associated intellectual property rights including without limitation any modifications, enhancements and revisions of the Software, is retained by SCH and/or its licensors. Unless enforcement is prohibited by applicable law, you may not modify, decompile, or reverse engineer Software. No right, title or interest in or to any trademark, service mark, logo or trade name of SCH or its licensors is granted under this Agreement.

3. DISCLAIMER OF WARRANTY: The Software is provided "AS IS". Without limiting the foregoing, SCH does not guarantee that the Software is free of errors or will operate without bugs, viruses, loss of data or interruptions. Your exclusive remedy and SCH’s entire liability under this limited warranty will be replacement of the Software by SCH. All express or implied conditions, representations and warranties, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement are disclaimed by SCH, except to the extent that these disclaimers are held to be legally invalid.

4. LIMITATION OF LIABILITY: TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT WILL SCH OR ITS LICENSORS BE LIABLE FOR ANY LOST REVENUE, PROFIT OR DATA, OR FOR SPECIAL, INDIRECT, CONSEQUENTIAL, INCIDENTAL OR PUNITIVE DAMAGES, HOWEVER CAUSED REGARDLESS OF THE THEORY OF LIABILITY, ARISING OUT OF OR RELATED TO THE USE OF OR INABILITY TO USE SOFTWARE, EVEN IF SCH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL SCH'S LIABILITY TO YOU, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EXCEED THE AMOUNT PAID BY YOU FOR SOFTWARE UNDER THIS AGREEMENT. THE FOREGOING LIMITATIONS WILL APPLY EVEN IF THE ABOVE STATED WARRANTY FAILS OF ITS ESSENTIAL PURPOSE.

5. TERMINATION: This Agreement is effective until terminated. You may terminate this Agreement at any time by uninstalling Software and destroying all copies of Software. This Agreement will terminate immediately without notice from SCH if you fail to comply with any provision of this Agreement. Upon Termination, you must uninstall Software and destroy all copies of Software.

CONTRAT DE LICENCE Sennheiser Dongle Control, VERSION (QUELCONQUE) CONTRAT DE LICENCE

Lisez attentivement les termes du présent contrat de licence et de toutes conditions de licence supplémentaires fournies avant l'installation (collectivement, le « Contrat »). En cas de contradiction entre le présent contrat de licence et les conditions de licence supplémentaires fournies, les conditions de licence supplémentaires prévaudront. Le logiciel auquel le présent Contrat s'applique est protégé par le droit d'auteur et d'autres législations, réglementations et accords internationaux concernant la propriété intellectuelle. En installant, utilisant ou copiant le logiciel, vous acceptez d'être lié par les termes du présent Contrat.

1. LICENCE D'UTILISATION: Sonova Consumer Hearing GmbH (« SCH ») vous concède une licence non exclusive et non transférable pour l'utilisation du logiciel et de la documentation d'accompagnement (collectivement, le « Logiciel ») uniquement pour administrer ou contrôler l'Équipement SCH spécifié à cet effet. Il vous est interdit d'utiliser le Logiciel pour contrôler ou administrer tout autre matériel que l'Équipement SCH sans avoir un contrat de licence écrit distinct à cet effet.
2. RESTRICTIONS: Le Logiciel est protégé par des droits de propriété intellectuelle. Le titre du Logiciel et tous les droits de propriété intellectuelle associés, y compris, sans limitation, toutes les modifications, améliorations et révisions du Logiciel, sont conservés par SCH et/ou ses concédants de licence. Sauf si l'application est interdite par la loi applicable, vous ne pouvez pas modifier, décompiler ou désassembler le Logiciel par ingénierie inverse. Aucun droit, titre ou intérêt dans ou sur une marque de commerce, une marque de service, un logo ou un nom commercial de SCH ou de ses concédants de licence n'est concédé en vertu du présent Contrat.
3. EXCLUSION DE GARANTIE: Le Logiciel est fourni « EN L'ÉTAT ». Sans limiter ce qui précède, SCH ne garantit pas que le Logiciel est exempt d'erreurs ou qu'il fonctionnera sans bogues, virus, perte de données ou interruptions. Votre recours exclusif et l'entière responsabilité de SCH en vertu de cette garantie limitée seront le remplacement du Logiciel par SCH. Toutes les conditions, déclarations et garanties expresses ou implicites, y compris toute garantie implicite de qualité marchande, d'adéquation à un usage particulier ou d'absence de contrefaçon sont exclues par SCH, sauf dans la mesure où ces exclusions sont jugées juridiquement invalides.
4. LIMITATION DE RESPONSABILITÉ: DANS LA MESURE AUTORISÉE PAR LA LOI, EN AUCUN CAS SCH OU SES CONCÉDANTS DE LICENCE NE SERONT RESPONSABLES DES PERTES DE REVENUS, DE BÉNÉFICES OU DE DONNÉES, OU DES DOMMAGES SPÉCIAUX, INDIRECTS, CONSÉCUTIFS, ACCESSOIRES OU PUNITIFS, QUELLE QU'EN SOIT LA CAUSE, INDÉPENDAMMENT DE LA THÉORIE DE LA RESPONSABILITÉ, RÉSULTANT DE OU LIÉS À L'UTILISATION OU À L'INCAPACITÉ D'UTILISER LE LOGICIEL, MÊME SI SCH A ÉTÉ INFORMÉ DE LA POSSIBILITÉ DE TELS DOMMAGES. EN AUCUN CAS, LA RESPONSABILITÉ DE SCH ENVERS VOUS, QUE CE SOIT EN CONTRAT, EN RESPONSABILITÉ DÉLICTUELLE (Y COMPRIS LA NÉGLIGENCE) OU AUTRE, NE DÉPASSERA LE MONTANT QUE VOUS AVEZ PAYÉ POUR LE LOGICIEL EN VERTU DU PRÉSENT CONTRAT. LES LIMITATIONS QUI PRÉCÈDENT S'APPLIQUERONT MÊME SI LA GARANTIE ÉNONCÉE CI-DESSUS NE REMPLIT PAS SON OBJECTIF ESSENTIEL.
5. RÉSILIATION: Le présent Contrat est effectif jusqu'à sa résiliation. Vous pouvez résilier le présent Contrat à tout moment en désinstallant le Logiciel et en détruisant toutes les copies du Logiciel. Le présent Contrat sera résilié immédiatement sans préavis de SCH si vous ne respectez pas l'une de ses dispositions. Dès la résiliation, vous devez désinstaller le Logiciel et détruire toutes les copies du Logiciel.
